Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Glencoe Technology ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Glencoe Technology provides software and product engineering, AI systems, cloud and platform engineering, and technology implementation and advisory services. The specific scope of services will be defined in separate engagement agreements.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for service delivery
  • Cooperate with our team and provide timely feedback
  • Ensure proper authorization for any data or systems access provided
  • Comply with all applicable laws and regulations
  • Pay all fees as agreed in the engagement terms

4. Intellectual Property

Unless otherwise specified in a separate agreement:

  • All pre-existing intellectual property remains the property of its original owner
  • Deliverables created specifically for a client become the client's property upon full payment
  • Glencoe Technology retains rights to general methodologies, tools, and knowledge developed during engagements

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives the termination of any service agreement for a period of three (3) years.

6. Limitation of Liability

To the maximum extent permitted by law, Glencoe Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid for the specific services giving rise to the claim.

7. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements unless explicitly stated in a service agreement.

8. Termination

Either party may terminate an engagement as specified in the relevant service agreement. Upon termination, you remain responsible for any fees owed for services rendered up to the termination date.

9. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of any modified terms.
